We present the first results from deep HST/WFPC2 imaging of three fields within the Chandra Deep Field South. We identify the optical counterparts for 90% of the 1~Msec X-ray sources (38 of 42), and these are separated into two distinct classes at optical wavebands: (1) a population of faint sources (I ~24--26) with colors similar to the field population in the same magnitude range, and (2) a brighter group (I < 23) with colors significantly redder than the bright field population. The optically resolved sources in the brighter population have a narrow range of V\!-\!I color and comprise a mix of both late- and early-type galaxies at moderate redshifts (z ~0.3--1). We show that the optically faint population, on the other hand, can be explained as being predominantly moderate-luminosity Type 2 AGN at higher redshifts (z ~ 2--3).
